IR Policy


1.     Objective

1.1.  As the manager of CapitaLand Ascendas REIT (“CLAR”), CapitaLand Ascendas REIT Management Limited, (the “Manager”) is committed to providing timely, objective, clear and consistent information on CLAR’s strategies, goals, trends and financial data to Unitholders and the investment community.

2.     General Policy

2.1.  At all times, the Manager is committed to making timely, full and accurate disclosure and distributing other corporate communications materials* in accordance with the Listing Manual of the Singapore Exchange Securities Trading Limited (“SGX-ST”) and the Singapore Code of Corporate Governance 2018.

*Other corporate communication materials refer to any document issued or to be issued by the Manager for the information or action of its Unitholders, including, but not limited to, the annual report, a notice of meeting, a circular and a proxy form.

2.2.  This Policy is subject to regular reviews by the senior management and board of directors of the Manager (the "Board") to ensure its effectiveness. Updates and amendments (as appropriate) will be made to reflect current best practices in our communication with Unitholders and the investment community.

3.     Communication Principles

3.1.  The Manager strives to provide pertinent and accurate information to its Unitholders and the investment community in an effective and timely manner.

3.2.  The Manager will use clear and plain language in its communication.

3.3.  The Manager endeavours to provide a consistent level of disclosure on both positive and negative issues.

3.4.  The Manager will communicate only through its designated spokespersons.

3.5.  The Manager does not respond to rumours. However, if rumours indicate that material information has been leaked or they are in fact false or inaccurate, the rumours will be promptly denied or clarified via announcements made through SGXNET to SGX-ST.

3.6.  The Manager will give reasonable access to analysts and the media to help them formulate informed opinions of CLAR but will not seek to influence those opinions.

3.7.  The Manager observes a ‘blackout period’ of one month prior to the announcement of CLAR’s half and full-year results. During this period, the Manager will avoid commenting on industry outlook, and CLAR’s operational performance and financial results, unless such information has already been publicly disclosed.

4.     Communication Channels

4.1.  The Manager actively engages Unitholders and the investment community via:

  • Analysts and media briefings, with 'live' webcasts available for viewing on CLAR’s corporate website;
  • one-on-one/group meetings or conference calls, investor luncheons, local/overseas roadshows and conferences;
  • its corporate website
  • property visits;
  • annual reports;
  • press releases; and
  • notices of, and explanatory notes for, annual general meetings ("AGMs") and extraordinary general meetings ("EGMs");

Investor Community Communication

4.2.  The Manager meets with investors and analysts at appropriate times and participates in investor roadshows, and conferences throughout the year.

4.3.  Upon the release of CLAR’s half-year and full-year financial results, the Manager will hold analysts and media briefings. ‘Live’ webcasts of the briefings are recorded and archived on CLAR’s corporate website within a reasonable time after the relevant briefing.

4.4.  CLAR has a dedicated website www.capitaland-ascendasreit.com, which contains all information relating to CLAR, from the structure to the portfolio information. All announcements, press releases and presentations issued on SGXNET will be updated on CLAR's website as soon as practicable after their release. Unitholders and the investment community have 24-hour access to CLAR's website for information.

4.5.  There is an Investor Relations section on CLAR’s website which will list all announced and paid-out semi-annual distribution per unit by CLAR, publications including circulars and annual reports, financial information and other relevant information. CLAR’s trading unit price is also made available on the website on a 10-minute delay basis.

4.6.  Unitholders/Investors can subscribe to email alerts to receive updates whenever there are any announcements or press releases issued by CLAR.

Unitholder Meetings

4.7.  Unitholders are encouraged to attend the AGM held in April annually. The Manager will present the performance and strategies of the REIT for the past year. Members of the Board, the Manager’s senior management and the external auditors of the Manager are in attendance at such general meetings, and Unitholders are given the opportunity to ask questions regarding the matters to be tabled at the general meetings.

4.8.  Unitholders shall be sent a copy of the Notice of AGM which is announced on SGXNET and uploaded on CLAR’s website. A copy of CLAR’s Annual Report may be downloaded from its website (printed copies of CLAR’s Annual Report are available upon request).

4.9.  Unitholders who are unable to attend and vote at the AGM can appoint proxies to attend, speak and vote on their behalf. The proxy forms are to be submitted 72 hours before the AGM.

4.10.As and when an EGM of the Unitholders is to be held, each Unitholder will receive a copy of a circular to Unitholders which contains the details of the matters to be proposed for Unitholders' consideration and approval. The notice of EGM which sets out all items of business to be transacted at the EGM and the circular is made available on CLAR’s website.

4.11.Electronic voting is used at CLAR's AGM and EGM for all resolutions. The results of the poll are shown on the screen immediately after each poll is conducted. An announcement will be released on SGXNET detailing the number and percentage of votes received FOR or AGAINST each resolution and whether each resolution has been carried.

4.12.The Manager will prepare minutes of the general meetings and make these minutes available to Unitholders upon their request as well as on CLAR’s corporate website.
